You are referring to Messenger Plus! Live(MPL), i assume?
MPL is NOT a different version of messenger, it is an Add-On. This means its adds to Windows Live Messenger's functionality.
Messenger Plus! Live is made by patchou.
Windows Live Messenger is made by Microsoft.
As for spyware, neither are spyware, However Plus! Live is adware IF you install the sponsor.
If you have the sponsor installed, and did not want it, this is because you did not read the installer. It is optional.

You can remove the sponsor of Messenger Plus! Live from Add/Remove Programs if you dont want the popups anymore.
