The problem is autoupdate but.....
Let me guess, using Office 2003?

I have the same problem since i went back from the Office 2007 beta to Office 2003 (auto update searches updates for Windows and Office).

I myself have turned off auto update for now and went back to checkin for updates manually again.

Also have a look at this hotfix:
FIX: When you run Windows Update to scan for updates that use Windows Installer, including Office updates, CPU utilization may reach 100 percent for prolonged periods
Maybe you've applied that one before but it has been replaced by a newer version (927891), so give it another go (it seems to have fixed it for me)

Hi~guy..it is so easy. To shut of the Automatic Update Service.

1. Click Start, click Run, type services.msc
2. Find Automatic Update, and stop it!

Click Start->Run, type "services.msc" (without quotation marks) in the
open box and click OK.

Double click the service "Automatic Updates".
Click on the Log On tab, ensure the option "Local System account"
is selected and the option "Allow service to interact with desktop" is
unchecked.
Check if this service has been enabled on the listed Hardware Profile. If
not, click the Enable button to enable it.
Click on the tab "General"; make sure the "Startup Type" is "Automatic".
Then click the button "Start" under "Service Status" to start the
service.

Repeat the above steps with the other service: Background Intelligent
Transfer Service (BITS).

Click Start->Run, type "REGSVR32 WUAPI.DLL" (without quotation marks) and
press Enter.
Repeat for each of the following commands:
REGSVR32 WUAUENG.DLL
REGSVR32 WUAUENG1.DLL
REGSVR32 ATL.DLL
REGSVR32 WUCLTUI.DLL
REGSVR32 WUPS.DLL
REGSVR32 WUPS2.DLL
REGSVR32 WUWEB.DLL

Next, follow these steps:
1. Disconnect the Internet Connection from the system tower.
2. Restart the computer and keep tapping F1 key. Select Safe Mode and hit enter.
3. Click Start, Run, type: cmd and press Enter. Run the following command in the opened window:

net stop WuAuServ

(note, you might need to reboot before the net stop command will work)
4. Click Start, Run, type: %windir% and press Enter.
5. In the opened folder, rename the folder SoftwareDistribution to SDold.
6. Click Start, Run, type: cmd and press Enter. Run the following command in the opened window:

net start WuAuServ


Restart the PC and the issue should be resolved.

I get this to lol. Its because the automatic updates have changed from windows updates to microsoft updates. It takes way longer to serch. At least thats when my problems started with it. Ive been getting it for months.
