Could be overheating. Most modern systems are designed to reboot or power off if the temperature gets too hot.
Also if the CPU is in any way different, for example if it's an AMD 2700+ to a 3200+, then the FSB speed has increased, which means that you may need to upgrade to PC3200 RAM due to motherboard limitations (some motherboards run a 3200+ using 333MHz rated RAM fine...)
You can usually monitor temperatures from within the BIOS.
I wouldn't personally expect something on the motherboard to have "blown-up" if the system is getting to the loading screen, although I guess it's not impossible.

i had the same problem (on this computer but without the blown-up cpu) where it just stops at the welcome screen windows logo ;p
id rather just go buy a new computer (try replacing your motherboard)

Well, my dad might be just buying a new comp for himself and giving me his current one, I would just have to switch harddrives.
But he might not.
We might buy a new motherboard.
The speed of the new cpu we got is slightly lower than the other one(the one that got toasted), not enough to make any difference though.

hertz only lets you compare the speed of two identical models of processor, you can't use it to compare, say, a pentium 4 to a core 2 duo Spoiler: the game.

That used to happen to me because some XP file was damaged.
edit2: Also, motherboards have layers, one of them could have been damage without any visible effect.

xp uses cpu serial numbers in it's activation file thing,
so the cpu serial number changed when it got replaced the wpa file was no longer valid
but you can turn them off
