Mind giving some specs on your computer, I've heard of many problems with NVIDIA AGP cards working on lower spec systems, similar to this. The best thing to do is download a BIOS update from your computer's manufacturer's website (or motherboards). From what I've seen before if that doesn't fix it then you're screwed.
Try taking the card out and putting it in another slot (if available) that should buy you around a week or so. The problems usually caused with the graphics card being literally in physical size not totally fitting and connections breaking down.
Also, if possible, I'd consider taking it back and getting a VGA card, NVIDIA's VGA cards cause fewer conflicts in general than the AGP ones on a larger scale...

Those specs should support it, have you tried the BIOS update?

Just download and install this http://www.asus.com.tw/pub/ASUS/mb/sock478/p4s800/P4S800_9.zip
If that doesn't work try upgrading your version of DirectX

It sounds like your CPU could be overheating.
Try download MBM and see how hot it is getting.

Yes.
tbh, saying that it is overheating is not really something to jump to at this time, just follow what I said. The links are direct and the installations automatic so you shouldn't have to do anything that difficult with configuring...
